What is a buyer tracker in M&A?
A buyer tracker is the working document a sell-side team uses to run a process: every potential buyer, their status (contacted, NDA, CIM sent, IOI, passed), key dates, and next steps. It is usually an Excel or SharePoint sheet updated by hand from emails, calls, and meetings, which is why it is chronically a week behind the process it describes.
The tracker is the real system of record on most deals, more trusted than the CRM, because the deal team maintains it under deadline pressure. That trust is also its weakness: keeping it current means someone re-reads every thread before every status call.
Each buyer update exists somewhere already, in a reply, a voicemail summary, a Teams message. The manual step is finding it and moving it. Automating a tracker well means reading those sources, proposing the status change with the evidence attached, and letting a person approve it.
A tracker update without a source is a liability. When the MD asks why a buyer is marked passed, the answer should be the email that says so, one click away.
